1. Scope

The “Orgalime SI 14 – General Conditions for the Supply and Erection of Mechanical, Electrical and Electronic Products” apply to supplies and erection services provided by Scherer Engineering Kft., provided that they are expressly incorporated into the relevant quotation, order confirmation or contract.

The applicable version will be made available to the customer during contract negotiations. Conflicting or supplementary terms of the customer apply only if Scherer Engineering Kft. has expressly accepted them in writing.

2. Individual agreements

Individual written agreements in the quotation, order confirmation or contract take precedence over Orgalime SI 14. The nature, scope and objective of the supplies and services owed are determined exclusively by the respective individual scope of work.

3. Engineering and consulting services

For pure engineering, development, analysis, consulting or licensing services, Orgalime SI 14 apply only if they are expressly incorporated into the relevant quotation or contract. Otherwise, the individual contractual agreements shall prevail.

4. Governing law and dispute resolution

Governing law and dispute resolution are determined by the validly incorporated Orgalime SI 14. For contracts with Scherer Engineering Kft., the substantive law of Hungary therefore applies. Disputes arising out of or in connection with the contract shall be finally settled in accordance with Orgalime SI 14 under the Rules of Arbitration of the International Chamber of Commerce (ICC).
